1. Acceptance of the Terms

By creating an account or using SpotLocator (the "Service"), operated by [RAZÓN SOCIAL], Tax ID [RFC], domiciled at [DOMICILIO] ("we", "SpotLocator"), you expressly accept these Terms & Conditions and our Privacy Notice. If you do not agree, do not use the Service.

These Terms constitute an adhesion contract under the Commercial Code and the Federal Consumer Protection Law. They are written in Spanish; any translation is provided for convenience and, in case of discrepancy, the Spanish version prevails.

2. Description of the Service

SpotLocator is a SaaS platform to create custom interactive maps with points of interest ("spots") and geometries ("drawings": lines, routes and zones), organize them into groups, style them visually (markers, popups, image and video galleries, buttons), and publish them via an embeddable map (iframe), a public link, or keep them private. It includes an AI tool built into the editor ("Spoty") that operates through natural language.

The Service is provided "as is" and evolves continuously; we may add, modify or remove features.

3. Account and eligibility

  • You must provide truthful, complete and up-to-date information.
  • You are responsible for keeping your password confidential and for all activity in your account.
  • You must be of legal age and have the capacity to enter into a contract.
  • An account may have several users depending on the plan; the account holder is responsible for their use.
  • We may suspend accounts with false information or misuse.

4. Billing model: credits, plans and usage

SpotLocator combines plans (which define limits and features) with a credit system that measures the usage of services that carry a real cost from external providers.

4.1 Credits. The credit is the unit used to charge for certain operations; each credit reflects the real cost of the external interface an action consumes, plus a margin. The following consume credits, by way of example: each opening of the published map (embed), the AI assistant (based on tokens processed), converting addresses to coordinates when you pick an address or drag a point, and bulk import when rows include an address. The following do NOT consume credits: typing in the search box, creating or editing spots and groups by hand, drawing lines and zones, uploading images, and bulk import with direct coordinates (these are limited by your plan).

Each plan includes an amount of credits that is replenished at the start of each period; included credits do not roll over between periods. You may buy additional credit packs: purchased credits do not expire and are kept even if you change or cancel your plan.

4.2 Important about the published map. Each time a visitor opens your published map, 1 credit is deducted from your account. There is no such thing as unlimited views. If your account runs out of credits, the published map stops showing until you top up. Keeping enough balance is your responsibility.

4.3 Plans. We offer a permanent free plan (with reduced limits) and paid plans with different limits (maps, spots per map, storage, included credits) and features (such as bulk import, zone drawing, or removing branding, depending on the plan). The current limits, features and prices are shown in the platform and may change.

4.4 Prices, taxes and invoicing. Prices are shown in the platform and include the applicable Value Added Tax (VAT). The total payable, including taxes, is shown before you confirm the purchase. Upon request, we issue a tax invoice (CFDI) within the calendar month of payment, after you provide your tax details. Payments are processed through Stripe; your card details go directly to Stripe and we do not store them.

4.5 Subscriptions and purchases. Buying credit packs is a one-time payment. When we offer a recurring subscription to a paid plan, by subscribing you authorize Stripe to make periodic charges (monthly or annually) until you cancel; the annual plan equals ten monthly payments.

4.6 Cancellation and refunds. You may cancel anytime from My account → Billing; you keep access until the end of the already-paid period and then move to the free plan. We do not offer refunds for periods already started or paid, or for credits already purchased or consumed; credits are not redeemable for cash. Sole exception: duplicate charges or verifiable technical errors, which we will correct (report them to [correo de facturación]).

4.7 Price changes. We may modify prices, plans, the credit value or included features, notifying you with reasonable advance notice; changes apply to the next cycle or purchase and credits already purchased are honored.

5. Acceptable use

You agree NOT to:

  • Use the Service for unlawful or deceptive purposes, or that infringe third-party rights.
  • Upload or publish illegal, defamatory, discriminatory content, content that infringes intellectual property, or third-party personal data you have no right to process.
  • Publish locations or information intended to facilitate illegal activities, harassment or harm to people.
  • Attempt to breach security, reverse engineer, access others' accounts, or overload/automate usage to exhaust resources.
  • Resell, sublicense or redistribute the Service without our written authorization.
  • Use the AI assistant to generate content that violates these Terms or the law.

Breach may result in suspension or cancellation of the account, without refund.

6. Your content and license

  • You keep ownership of the content you create (maps, spots, drawings, images, text).
  • You grant us a limited, non-exclusive, worldwide license to store, process, reproduce and display your content solely to provide you the Service, including publishing the embeddable map when you choose to.
  • You are solely responsible for the content you upload (names, addresses, coordinates, images and any third-party data) and warrant that you have the rights and consents needed to process and publish it.
  • Regarding third-party personal data in your material, you act as data controller and SpotLocator as processor, handling it only under your instructions and these Terms.

7. Artificial intelligence assistant

  • The assistant (Spoty) may make mistakes or produce inaccurate results. You must review and validate whatever it produces before publishing it or making decisions based on it.
  • To operate, your prompts and the necessary map context are sent to AI model providers (see Privacy Notice). Do not enter sensitive data you do not want to share with those providers.
  • Suggested images or place data may come from external providers under their own licenses; you are responsible for respecting them.
  • Assistant usage deducts credits based on actual processing.

8. Third-party services

The Service relies on external providers (maps, AI models, geocoding, payment processing and storage). Using those features means interacting with such providers under their own terms. We are not responsible for failures, changes or interruptions attributable to third parties.

9. Availability and support

  • We make reasonable efforts to keep the Service available, but do not guarantee uninterrupted or error-free availability. We may perform maintenance.
  • Support is provided through the channels and priority matching your plan.

10. Suspension and termination

We may suspend or cancel your account if you breach these Terms, for non-payment, upon authority request, or for security risk. You may cancel anytime. After termination, your content may be deleted per the Privacy Notice and applicable retention periods.

11. Intellectual property

The Service, its software, brand, logos, design and interfaces are owned by us or our licensors and protected by applicable laws. These Terms do not transfer rights over them beyond using the Service under your plan.

12. Limitation of liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We will not be liable for indirect, incidental, special or consequential damages, data loss, lost profits, or for content you or third parties publish, or for credit consumption arising from use (including embed openings by visitors). Our total aggregate liability is limited to the amount you paid for the Service in the [3/6/12] months prior to the event giving rise to the claim. Nothing excludes liabilities that cannot be limited by law.

13. Indemnification

You agree to hold us harmless against third-party claims arising from your content, your use of the Service in violation of these Terms or the law, or your breach of obligations regarding third-party personal data.

14. Changes to the Terms

We may update these Terms. We will notify you of relevant changes and, when required by law, ask you to accept them again. Continued use after they take effect implies acceptance. The current version is always available in the platform.

15. Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the courts of [CIUDAD, ESTADO], waiving any other jurisdiction, without prejudice to the rights the Federal Consumer Protection Law grants the consumer and PROFECO's competence.
